Clover Terms of Service

1. Agreement to Terms

By installing and using any Grey Sky Media application ("App") on your Clover Point of Sale system, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not install or use the App.

2. License Grant

Grey Sky Media grants you a non-exclusive, non-transferable, limited license to use the App solely for your internal business purposes on your Clover Point of Sale system. You may not resell, redistribute, or sublicense the App.

3. Use Restrictions

You agree not to:

  • Modify, reverse-engineer, or attempt to derive the source code of the App
  • Use the App to violate any law or regulation
  • Interfere with or disrupt the operation of the App or Clover's systems
  • Use the App in any manner that could damage, disable, or harm Grey Sky Media's or Clover's systems
  • Access the App in an unauthorized manner or exceed reasonable use limits
  • Use the App to process fraudulent transactions or engage in illegal activity

4. Fees and Payment

Some Apps may be provided free of charge, while others may require payment. If your App has associated fees, you agree to pay the stated fees. Fees are non-refundable except where required by law. We reserve the right to change fees with 30 days' notice.

5. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. Grey Sky Media makes no warranty that the App will be error-free, uninterrupted, or fit for any particular purpose. Use of the App is at your own risk.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GREY SKY MEDIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL GREY SKY MEDIA'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS LESS.

7. Technical Support

We provide reasonable technical support for App-related issues. Support is available via email at jamison@greyskymedia.com. Response times and support levels may vary based on your plan.

8. Intellectual Property

The App, including all code, design, and functionality, is owned by Grey Sky Media and protected by copyright and other intellectual property laws. You retain all rights to your business data and transaction records processed through the App.

9. Data Ownership and Rights

You own all merchant and customer data accessed by the App. Grey Sky Media has no claim to ownership of your business data. We use this data only to provide and improve the App, as detailed in our Privacy Policy.

10. Indemnification

You agree to defend, indemnify, and hold harmless Grey Sky Media from any claims, damages, or costs arising from:

  • Your use of the App in violation of these terms
  • Your violation of any law or third-party rights
  • Claims related to your business data or transactions

11. Suspension and Termination

Grey Sky Media may suspend or terminate your access to the App at any time if:

  • You violate these Terms of Service
  • Your use poses a security risk to Clover or Grey Sky Media systems
  • We are required to do so by law
  • The App is discontinued

You may terminate your use of the App at any time by uninstalling it from your Clover dashboard.

12. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal action or proceeding shall be brought exclusively in the federal or state courts located in Sacramento County, California.

13. Dispute Resolution

Before pursuing legal action, both parties agree to attempt to resolve disputes through good faith negotiation. If negotiation fails, disputes may be resolved through binding arbitration under the rules of the American Arbitration Association.

14. Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Grey Sky Media regarding the App and supersede all prior agreements and understandings.

15. Changes to Terms

We reserve the right to modify these terms at any time. Material changes will be communicated to you, and your continued use of the App constitutes acceptance of the modified terms. If you do not accept the changes, uninstall the App.
